The Corporate and Commercial department can advise on and draft a variety of corporate agreements ranging from the day-to-day documents such as Companies House forms and non-disclosure agreements to more specialised share purchase and joint venture agreements.
The team is also experienced in registering companies in relation to Data Protection, consulting on regulatory matters and providing company secretarial services.

- Drafting corporate employment agreements
- With a view to retaining staff and protecting the interests of the company.
- Negotiating and drafting joint venture agreements
- Taking care to ensure the client’s objectives are met, both in the short and long terms, while ensuring that all the joint venture parties have entered into a workable agreement.
- Negotiating and drafting share purchase agreements
- From the negotiation of the agreement, to the practical implementation of the share issues/transfers, as well as the legislative and regulatory requirements.
- Negotiating and drafting letters of intent and memoranda of understanding
- Although normally expressed to be non-binding, it’s crucial to ensure that key commercial points are not given up at this early stage.
- Implementing group structures, as well as the associated share structures and shareholders’ agreements
- A group structure can have a significant affect on board/shareholder control, funding and taxation. The associated agreements dictate the responsibilities/powers of the various parties and how they may be rewarded.
- Advising on director/shareholder meetings
- Based upon a company’s constitutional documentation (memorandum and articles of association), meetings are required to meet certain criteria. Under the Companies Act 2006, certain formalities must be met. Following a meeting there may be duties to be carried out, such as the allotment of shares, or the filing of documentation.
- Drafting minutes
- The minutes of a meeting must reflect what has happened during the meeting in question and in certain circumstances must be filed at Companies House.
- Filing documents at Companies House
- In accordance with the Companies Act 2006.
- Advising on regulatory filings
- Depending on the type of business to be carried on by the company, certain regulatory filings may be required, the form of which will be dictated by the regulator in question.
- Advising on data protection policies and arranging the registration as a data controller
- It is a requirement for all companies to protect personal data and be registered with the Data Commissioner as having implemented appropriate controls.
- Management of company books
- A company’s books should reflect the current position of the company in question, including information which may not be filed at Companies House.
